Scott will hold a research seminar as part of the ICEBS program at our University on Tuesday, June 11, 10:00 a.m. in room 301 (WIWI). The title of the seminar is: "A MODEL OF DIRECTORS’ IMPLICIT THEORIES OF BOARD EFFECTIVENESS: A GROUNDED THEORY APPROACH"
Board effectiveness remains an important research topic for strategic management scholars. Much of the research on boards is based on explicit theories or empirical models that assume that impose assumed behaviors on to boards – such as monitoring – that are thought to define board effectiveness. Yet, empirical support for board effectiveness, specifically in terms of monitoring, is equivocal. As such, we suggest it is time to consider directors’ implicit beliefs and views of monitoring and board effectiveness to understand their perspective of the board’s overall role in governance. In this study, we use a grounded theory approach to develop a model of director’s implicit view of board effectiveness. We integrate information learned from extensive interviews with active directors and executives from a variety of public firms to better understand board effectiveness.
